Terms and Conditions

These Terms and Conditions govern the use of the John Bead website, wholesale account privileges, reseller requirements, marketplace selling requirements, minimum advertised price requirements, orders, payment, shipping, returns and related matters.

By accessing or using the website, creating an account, applying for wholesale status, placing an order, purchasing products for resale or advertising John Bead products, you agree to comply with these Terms and Conditions.

If you do not agree with these Terms and Conditions, please do not use the website, place orders or participate in any John Bead reseller program.

1. About John Bead

This website is owned and operated by John Bead Corporation ("John Bead", "we", "our" or "us").

John Bead reserves the right to modify these Terms and Conditions at any time. Continued use of the website, continued purchasing activity or continued participation in any reseller program constitutes acceptance of the updated Terms and Conditions.

2. Website Use and Account Registration

Certain website features, wholesale pricing and reseller resources may require account registration. Users agree to:

Provide accurate, complete and current account information.
Maintain the confidentiality of account credentials.
Notify John Bead of any unauthorized account activity.
Accept responsibility for all activities occurring under their account.
Use the website only for lawful business purposes.
Comply with these Terms and Conditions and all applicable laws.

John Bead reserves the right to suspend, restrict or terminate website access, account access, wholesale access or reseller privileges at its sole discretion.

3. Wholesale Account Requirements

Wholesale pricing and purchasing privileges are available only to approved wholesale customers. Approval as a wholesale customer is granted solely at the discretion of John Bead.

Unless otherwise stated, the following wholesale requirements apply:

Opening Order Minimum: $300.00 before applicable taxes, duties, fees and shipping charges.
Minimum Reorder Amount: $200.00 before applicable taxes, duties, fees and shipping charges.
Annual Purchase Requirement: $2,000.00 within a rolling twelve (12) month period.

John Bead may review wholesale accounts periodically. Accounts that do not meet applicable requirements may be reclassified, suspended or removed from wholesale status at John Bead's sole discretion.

John Bead may modify wholesale account requirements, minimum order requirements or purchasing privileges at any time.

4. Authorized Reseller Status

Authorized Reseller status permits the purchase and resale of John Bead products through approved sales channels. Authorized Reseller status does not automatically grant permission to sell John Bead products on online marketplaces or third-party digital selling platforms.

To become and remain an Authorized Reseller, customers must:

Operate a legitimate business.
Provide accurate and complete business information.
Meet applicable wholesale account requirements.
Remain current on all payment obligations.
Accurately represent John Bead products and brands.
Comply with these Terms and Conditions and all applicable laws.

John Bead may approve, deny, suspend or revoke Authorized Reseller status at its sole discretion.

5. Marketplace Selling Requirements

Resellers must obtain prior written authorization from John Bead before selling John Bead products on any online marketplace or third-party digital selling platform.

These requirements apply to third-party marketplaces and digital selling platforms including but not limited to:

Amazon
Walmart Marketplace
eBay
Etsy
TikTok Shop
Other online marketplaces or digital commerce platforms

Approval to sell on a marketplace does not create any permanent right to continue selling on that marketplace. John Bead may modify, suspend or revoke marketplace authorization at any time to support business objectives, brand protection, channel management or customer experience standards.

Approved marketplace sellers must maintain accurate product information, use approved product images and content where provided, represent products professionally, comply with marketplace requirements and maintain a positive customer experience.

6. Product Information, Images and Brand Representation

John Bead strives to ensure that product descriptions, specifications, images and pricing information are accurate. However, John Bead does not guarantee that all information is complete, current or error-free.

Product images are for illustrative purposes only. Actual products may vary slightly in color, appearance, packaging or other details.

Resellers must use accurate product descriptions, avoid misleading claims, represent products in a professional manner and comply with applicable consumer protection laws. John Bead may require the correction or removal of inaccurate, outdated or misleading product information.

7. Intellectual Property

All website content, logos, trademarks, product images, product descriptions, graphics, website design, text and other materials are the property of John Bead or its licensors.

John Bead may permit approved customers and Authorized Resellers to use approved trademarks, product images and marketing materials solely for the purpose of promoting and selling authorized John Bead products.

Unauthorized use, copying, modification, scraping, distribution or reproduction of John Bead intellectual property is prohibited without prior written permission.

8. Pricing, Availability and Order Acceptance

All prices are subject to change without notice. John Bead may correct pricing errors, modify product pricing, limit quantities, refuse orders or cancel orders affected by pricing, inventory or product information inaccuracies.

Product availability is not guaranteed until an order has been accepted and processed.

Submission of an order does not constitute acceptance by John Bead. John Bead may refuse or cancel any order, limit quantities purchased or restrict purchases based on account history, inventory availability, suspected misuse or other business reasons.

If an order is cancelled after payment has been processed, an appropriate refund will be issued.

9. Payment Terms

Payment must be received and approved prior to shipment unless alternative credit arrangements have been established.

John Bead may suspend shipments, restrict ordering privileges or suspend accounts for overdue balances.

Customers are responsible for all applicable taxes, duties, fees, freight charges and related costs unless otherwise exempt or agreed in writing.

10. Shipping, Delivery, Returns and Claims

Delivery dates are estimates only and are not guaranteed. John Bead is not liable for delays resulting from carrier delays, weather conditions, customs clearance, supply chain disruptions or events beyond reasonable control.

Risk of loss transfers to the customer upon delivery to the carrier unless otherwise required by law or agreed in writing.

Returns, shortages and damage claims are subject to John Bead's published return policies. Customers must inspect shipments upon receipt and report discrepancies within the applicable claim period. Unauthorized returns may be refused.

11. Minimum Advertised Price (MAP) Requirements

11.1 Purpose

John Bead is committed to maintaining the long-term value of its brands, supporting its authorized reseller network and preserving a fair and competitive marketplace for its products.

The MAP requirements are intended to apply to third-party online marketplace listings, including platforms such as Amazon, Walmart Marketplace, eBay, Etsy, TikTok Shop and similar marketplaces, and do not apply to pricing displayed in a customer’s physical retail store or on the customer’s own ecommerce website.

11.2 MAP-Covered Products

MAP requirements apply only to products designated by John Bead as MAP-covered products. MAP-covered products may include John Bead-owned brands, private-label products, products for which John Bead has authority to administer pricing requirements and other products designated by John Bead.

For products not owned by John Bead, applicable pricing or channel requirements may be administered as conditions of wholesale account status, marketplace authorization or purchasing privileges.

11.3 MAP Pricing Communication

John Bead may establish minimum advertised prices for designated MAP-covered products and communicate those prices through official price lists, reseller communications, reseller portals or other official channels.

Resellers are responsible for ensuring compliance with the most current MAP pricing communicated by John Bead.

11.4 Advertising Covered by MAP

MAP requirements apply to all forms of advertising including online marketplaces, digital advertisements, social media advertisements, email marketing campaigns, print advertisements, catalogs, mobile applications and any other public advertising medium.

11.5 MAP Violations

The following activities may constitute violations of the MAP requirements:

Advertising a MAP-covered product below its established MAP price.
Displaying discounts, coupons, rebates, instant savings offers, gift card promotions or similar incentives that reduce the advertised price below MAP.
Advertising bundled offers that effectively reduce the advertised price of a MAP-covered product below MAP.
Advertising marketplace listings below MAP.
Advertising prices that become visible to the public before a product is added to a shopping cart when such prices are below MAP.
Using automated repricing systems, marketplace tools or third-party software in a way that results in advertised prices below MAP.
Any other advertising practice that directly or indirectly results in an advertised price below MAP.

11.6 Permitted Practices

The following activities are generally permitted:

Selling products below MAP provided the reduced price is not publicly advertised.
Offering lower prices within a shopping cart or during the checkout process.
Offering free shipping or other value-added services.
Participating in loyalty, rewards or membership programs that do not publicly advertise prices below MAP.
Running promotional activities specifically approved in writing by John Bead.

11.7 Unilateral Administration

The MAP requirements are established unilaterally by John Bead. John Bead does not seek, require or accept any agreement from resellers regarding these requirements. Resellers remain free to independently determine their own resale prices.

12. Prohibited Activities

Users, customers and resellers may not:

Use the website or John Bead resources for unlawful purposes.
Attempt to gain unauthorized access to systems or accounts.
Interfere with website operation or security.
Copy, scrape or extract website content without authorization.
Misrepresent affiliation with John Bead.
Sell on marketplaces without prior written authorization.
Misrepresent product information or use misleading product images or descriptions.
Alter product packaging or branding without authorization.
Create unauthorized bundles or listings that may harm brand perception.
Engage in activities that may negatively impact John Bead, its brands or its customers.

13. Monitoring and Enforcement

John Bead may monitor website activity, reseller activity, marketplace activity and advertised pricing for compliance with these Terms and Conditions.

Violations may result in one or more of the following actions:

Written notice or request for correction.
Suspension of marketplace authorization.
Suspension of wholesale purchasing privileges.
Restriction from future reseller programs.
Cancellation or refusal of orders.
Termination of Authorized Reseller status.
Termination or restriction of account access.

John Bead may determine the appropriate enforcement action in its sole discretion and may proceed directly to any level of enforcement where deemed appropriate.

14. Disclaimer of Warranties

The website and its contents are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, John Bead disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law, John Bead shall not be liable for any indirect, incidental, consequential, special or punitive damages arising from the use of the website, products, services, reseller programs or marketplace activities.

John Bead's total liability shall not exceed the amount paid by the customer for the applicable order giving rise to the claim.

16. Indemnification

Users, customers and resellers agree to indemnify and hold harmless John Bead, its directors, officers, employees and affiliates from any claims, damages, liabilities, costs or expenses arising from misuse of the website, resale activities, marketplace activities or violation of these Terms and Conditions.

17. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

18. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms and Conditions, together with any applicable order terms, credit terms, return procedures or written authorizations issued by John Bead, constitute the entire agreement between the user, customer or reseller and John Bead regarding use of the website, wholesale purchasing privileges, reseller status, marketplace selling and MAP requirements.
